By Thursday the raise was 85% there. Nordic Capital had confirmed co-investment of GBP 4 million. Kestrel Ventures wanted one more call. The term sheet was with legal counsel.
Then Priya called at 4 PM.
"TechNova have put their renewal on hold. Rodrigo Santos called James this morning. There is a delivery issue — the Q1 integration milestone was three weeks late. They are not cancelling. But they are not signing either."
Brian was quiet for a moment. TechNova was Meridian's largest enterprise client. It was also in the investor deck. Page 7: 'pre-committed, contractually bound enterprise client base.'
"Does Marcus know?"
"Not yet. James thinks we should tell him before he finds out another way. Proactive disclosure."
Brian looked at the Module 2 tools he had spent three weeks learning. Nominalization. Pre-modification. Register calibration. He had practised all of them on good news. Now he needed them for something harder: telling an investor that a core assumption in the deck had just changed — and making sure it did not end the raise.
